These Terms & Conditions (“Terms”) govern your use of the Jemline website. By accessing or using the website, you agree to these Terms. If you do not agree, please do not use the website.
1. Website Use
You may use this website for lawful, personal, or business informational purposes. You may not misuse the website, attempt unauthorized access, interfere with its operation, introduce malicious code, scrape it in a manner that burdens the service, impersonate another person, or use the website to violate any law or another party’s rights.
2. Informational Content
Website content is provided for general information and may be updated, corrected, or removed without notice. Examples, portfolio previews, pricing, timelines, results, and descriptions are illustrative unless expressly identified as a binding offer. We do not guarantee that all content will always be complete, current, or error-free.
3. Inquiries, Quotes, and Proposals
Submitting a form, requesting an audit, booking a consultation, or receiving a preliminary estimate does not create a client relationship or require either party to proceed. A project begins only when the parties accept a written proposal or service agreement and any required initial payment is received.
Project scope, deliverables, timing, revisions, fees, payment schedule, cancellation terms, hosting, maintenance, ownership, and support will be governed by the applicable written proposal or agreement. If that agreement conflicts with these website Terms, the signed agreement controls for that project.
4. Client Materials and Responsibilities
If you engage Jemline, you are responsible for providing accurate information, timely feedback, required approvals, and materials needed for the project. You represent that you have the necessary rights and permissions to use any names, logos, text, photographs, videos, trademarks, data, or other materials you provide.
5. Pricing, Payments, and Refunds
Website prices marked “from,” package descriptions, and other pricing information are starting points and may change based on scope. Final pricing and payment terms will appear in the applicable proposal or agreement. Deposits, milestone payments, late fees, cancellation charges, and refund eligibility are governed by that agreement. Unless stated otherwise in writing, third-party costs such as domains, hosting, software subscriptions, stock assets, payment fees, and advertising spend are separate.
6. Intellectual Property
The Jemline name, logo, website design, copy, code, graphics, and other website content are owned by or licensed to Jemline and are protected by applicable intellectual-property laws. You may not copy, republish, sell, license, distribute, or create derivative works from website content without written permission, except for ordinary browser caching or printing a copy for your internal evaluation.
Ownership of work created for a client is determined by the applicable project agreement. Jemline and its licensors retain ownership of pre-existing tools, know-how, templates, frameworks, reusable components, and third-party materials unless the agreement expressly states otherwise.
7. Third-Party Services
The website and Jemline projects may use or link to third-party platforms such as hosting providers, domain registrars, content-management systems, form tools, CRMs, scheduling services, analytics providers, payment processors, social networks, plugins, or software services. Third parties control their own products, terms, availability, pricing, security, and privacy practices. Jemline is not responsible for third-party changes, outages, suspensions, or acts beyond our reasonable control.
8. Disclaimers
To the fullest extent permitted by law, the website is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory. Jemline does not warrant uninterrupted or error-free operation, complete security, or any particular business, search-ranking, revenue, lead, conversion, or marketing result. Nothing in these Terms excludes a warranty or right that cannot legally be excluded.
9. Limitation of Liability
To the fullest extent permitted by law, Jemline will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business opportunities arising from use of or inability to use this website. For claims relating solely to the public website, Jemline’s total liability will not exceed the greater of the amount you paid Jemline specifically for access to the website or $100. Limits for paid client services, if different, are governed by the applicable written agreement.
10. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Jemline from claims, losses, liabilities, and reasonable costs arising from your unlawful misuse of the website, your violation of these Terms, or materials you provide that infringe another party’s rights.
11. Suspension and Termination
We may restrict or terminate access to the website when reasonably necessary to protect the website, users, Jemline, or third parties; respond to unlawful conduct; or address a violation of these Terms. Provisions that by their nature should survive termination will remain in effect.
12. Disputes and Applicable Law
The governing law, venue, and dispute process for paid services will be stated in the applicable project agreement. For website-only matters not covered by a signed agreement, applicable law and jurisdiction will determine the parties’ rights. Before filing a formal claim, you agree to contact Jemline and make a reasonable good-faith effort to resolve the concern informally, except where immediate relief is legally necessary.
13. Changes to These Terms
We may update these Terms from time to time. The effective date at the top identifies the current version. Continued use of the website after updated Terms become effective constitutes acceptance of the updated Terms to the extent permitted by law.
